Position - Company Secretary & Head of Legal
** Candidate from a listed company is highly preferred
Job Location: Mumbai (Andheri East)
Work days: Mon- Fri
Job Overview:
The ideal candidate will be responsible for managing all aspects of corporate governance, compliance, and legal matters for the organization, ensuring that the company adheres to legal standards and statutory regulations as a listed company under Indian laws.
This role involves advising the Board and management on corporate governance, regulatory compliance, and legal risk management. You will also act as the company's principal legal advisor, handling various legal matters and ensuring compliance with the Companies Act, SEBI regulations, and other relevant laws.
Key Responsibilities:
1. Corporate Governance & Compliance:
- Ensure adherence to the Companies Act, 2013, SEBI Regulations, Stock Exchange Listing
Obligations, and other applicable corporate laws.
- Facilitate the convening of board meetings, general meetings, and committee meetings,
including preparing agendas, minutes, and board resolutions.
- Act as a bridge between the Board of Directors and the shareholders, ensuring transparency in operations.
- Manage statutory registers, records, and returns, ensuring accurate filings with ROC, SEBI, and Stock Exchanges.
2. Statutory Compliance & Filings:
- Prepare and file necessary reports, annual returns, and forms with regulatory authorities like the MCA, SEBI, RBI, and others.
- Ensure compliance with all SEBI guidelines and disclosures, including insider trading regulations and quarterly/annual reporting.
- Manage public announcements, voting processes, and shareholder-related matters.
3. Liaison & Stakeholder Management:
- Act as a point of contact between the company and external stakeholders, including regulatory authorities, investors, shareholders, and auditors.
- Ensure compliance with shareholder communication guidelines, handle investor relations, and manage the Annual General Meeting (AGM).
Legal Responsibilities:
1. Legal Advisory:
- Provide legal advice to the Board of Directors and management on corporate governance, contracts, litigation, intellectual property, mergers & acquisitions, and other legal matters.
- Proactively identify legal risks and implement solutions to mitigate potential legal exposure.
2. Contracts & Agreements:
- Draft, review, and negotiate contracts, including vendor agreements, partnership agreements, non-disclosure agreements, joint ventures, and other commercial contracts.
- Ensure contracts align with business objectives and legal compliance.
3. Litigation & Dispute Resolution:
- Manage litigation processes, including coordination with external counsel and representing the company in legal proceedings.
- Lead resolution of disputes, including arbitration and mediation, with a focus on minimizing legal risks and costs.
4. Compliance & Regulatory Affairs:
- Ensure the company’s compliance with applicable laws and regulations, including SEBI
regulations, environmental laws, labor laws, and industry-specific regulations.
- Implement effective systems to monitor changes in legislation and advise the company on regulatory developments.
Required Qualifications & Experience:
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor’s/Master’s Degree in Law (LLB/LLM) from a recognized institution.
- Experience:
- Minimum 15+ years of experience as a Company Secretary & Legal Head, with specific
experience in a listed company.
- Strong knowledge of corporate laws, SEBI regulations, compliance requirements, and litigation management.
- Proven experience in handling legal matters related to commercial contracts, M&A, and
corporate governance.
- Technical Skills:
- In-depth knowledge of the Companies Act, SEBI guidelines, Stock Exchange regulations, Listing Obligations, FEMA, and related laws.
- Proficiency in legal research and drafting of agreements, notices, contracts, and litigation
documents.
- Key Competencies:
- Strong organizational and communication skills with attention to detail.
- Excellent leadership and decision-making abilities.
- Ability to manage multiple stakeholders and work under pressure.
- Sound understanding of corporate governance principles and regulatory compliance.
- Proficiency in legal management software and MS Office Suite.
Job Type: Full-time
Pay: ₹3,000,000.00 - ₹3,500,000.00 per year
