Key Responsibilities
- Prepare and maintain accurate corporate records, including board and committee minutes, written resolutions, annual returns and regulatory filings, and standard other corporate governance documents
- Manage the process on change of officers, corporate secretary, addresses etc
- Assist on legalization and notarization of corporate documents
- Assist with the preparation of board and committee meetings, including preparation and circulation of agendas and related materials, and finalising the relevant minutes
- Monitor changes in Singapore Companies Act and ACRA regulations or guidelines that may affect the company's corporate functions, and liaise with the Commercial teams to provide guidance to the board and executive teams on compliance issues
- Coordinate the submission of reporting packages of local and overseas subsidiaries according to the relevant group policies
- Manage the end-to-end execution process for all relevant documents in accordance with in-house requirements
- Manage and maintain the company’s databases and document management systems
- Perform other support tasks as needed
Skills & Qualifications
- Bachelor's degree in a relevant field
- At least 5 years of experiences as a corporate secretary or paralegal, or other similar role
- Knowledge of corporate governance best practices, legal and regulatory requirements, and industry standards
- Excellent organizational and time management skills, with the ability to manage multiple priorities and meet competing deadlines
- Excellent written and verbal communication skills, with the ability to communicate effectively with senior leaders and external parties
- Proficiency in Microsoft Office and Docu Sign or other similar execution platforms
