Summary: The Manager within the Waystone Compliance Solutions Services function will be responsible for the delivery of corporate services to a diverse portfolio of external clients. This is an excellent opportunity for someone self-motivated, meticulous, detailed-oriented, proactive, able to multi-task and think quickly on their feet. Manager to work closely with Waystone Compliance solutions Associate Director and leadership team to provide excellent client services and deliver work within the timelines assigned to the specific task. The minimum expectation of the role is as set out below:

ESSENTIAL DUTIES AND RESPONSIBILITIES
  • Assist in handling and managing all corporate secretarial matters for clients especially for investment fund vehicles and structures (closed ended and open ended) independently.
  • Handle tasks such as preparation of board meeting, agendas, board minutes and resolutions and take notes at board meetings to ensure smooth timely running.
  • Produce minutes and resolutions for board approval and action points for
  • up.
  • Review transactions and operations to ensure proper documentation according to regulatory requirements.
  • Maintain share register, legal documents and ensure proper documentation according to internal procedures and local regulations.
  • Support AML/KYC procedures for internal teams and to meet local regulatory requirements.
  • Maintain detailed records of communications and meetings.
  • Manage internal operations and communications, serve as point of contact for employees and vendors.
  • Able to perform functions such as allotment of shares, share transfers, reclassification of shares, capital reduction, dividend distribution, redemption of share capital.
  • Familiar with FATC and CRS filing obligations
  • Train and coach the team where necessary.
  • Complete any other additional ad hoc tasks or deliverables that may be assigned as needed or due to business demand.

REQUIREMENTS

  • A degree in law, an accountancy or ICSA qualification and/ or proven track experience (4+ years) in company secretarial (funds/financial sector) field.
  • Knowledge of corporate governance, hedge fund documentation, relevant laws and regulatory requirements are advantageous.
  • Ability to thrive in a fast-paced environment, meet tight deadlines and experience with supporting/mentoring other team members
  • Exceptional communication and organizational skills.
  • Excellent time management, attention to detail, critical thinking skills and the ability to think commercially.
  • Adept at building professional working relationships with senior management and clients.
  • Proficient in Microsoft Word, Excel and Power Point.
