Associate Director - Legal Transactions

We are seeking an experienced, collaborative, meticulous Associate Director to join our Transactions Center of Excellence (the “Transactions team”) within the Legal department. In this role, you will manage a broad range of legal compliance and regulatory filings, manage internal contract and document systems, administer contract templates, negotiate transactions with health care providers, and work on cross-functional project teams. You will collaborate with business collaborators across the organization to ensure that the Transactions team is providing the highest level of service to bring medicines to patients in need. This role reports to the Associate Vice-President and Assistant General Counsel, Transactions Center of Excellence.
Responsibilities
- Generate and submit Hart-Scott Rodino (HSR) filings for applicable corporate transactions, including collecting relevant materials, collaborating with Business Development and Finance functions, and directing outside counsel to ensure legal compliance.
- Intake and respond to inquiries from regulatory authorities related to Lilly’s corporate transactions, including from FINRA, SEC, FTC, or other relevant regulatory authorities.
- Negotiate transactions with a variety of HCP, non-HCP, and patient organizations, and support Lilly’s business units in connection with their commercial or scientific objectives.
- Review, revise, and maintain contract template libraries for a variety of transactions.
- Handle outside counsel relationships, including with respect to new engagements, new matters, and ongoing billing, tracking, and performance management.
- Manage internal contract management and lifecycle systems for the Transactions team.
- Lead Transaction team efforts to integrate new tools, systems, and processes into daily operations, including with respect to artificial intelligence.
- General support of Transactions team, including cross-functional initiatives, resolve non-contractual issues, and support of Business Development organization.
Basic Qualifications
- Bachelor’s degree from accredited school.
- Juris Doctor or Paralegal Certificate preferred.
- Minimum of 5 years of experience in health care legal transactions, including commercial contract negotiation, legal compliance, and legal regulatory matters.
- Qualified applicants must be authorized to work in the United States on a full-time basis. Lilly will not provide support for or sponsor work authorization and/or visas for this role.
Additional Skills/Preferences
- Fluency in regulatory filings, including with respect the Hart-Scott-Rodino Act, FINRA inquiries, SEC inquiries, and similar regulatory interactions.
- Proficiency in contract management and lifecycle systems (i Manage, MIDAS, etc.).
- Experience in leading, directing, and managing outside counsel engagements preferred.
- Ability to build strong relationships with Lilly leaders, business units, and technology teams.
- Strong organizational and project management skills leading complex projects, with the ability to effectively prioritize and manage multiple initiatives.
- Excellent written and verbal communication, presentation, and interpersonal skills.
- Ability to work both independently and collaboratively in a fast-paced environment.
- Meticulous attention to detail.
- Good judgment and ability to spot issues in complex transactions and regulatory matters.
Additional Information
Lilly currently anticipates that the base salary for this position could range from between $122,250 to $179,300 and will depend, in part, on the successful candidate’s qualifications for the role, including education and experience. Full-time equivalent employees also will be eligible for a company bonus (depending, in part, on company and individual performance). In addition, Lilly offers a comprehensive benefit program to eligible employees, including eligibility to participate in a company-sponsored 401(k); pension; vacation benefits; eligibility for medical, dental, vision and prescription drug benefits; flexible benefits (e.g., healthcare and/or dependent day care flexible spending accounts); life insurance and death benefits; certain time off and leave of absence benefits; and well-being benefits (e.g., employee assistance program, fitness benefits, and employee clubs and activities).Of course, the compensation described above is subject to change and could be higher or lower than the range described above.
