We are looking for a General Councel to join our team. The General Counsel at snappi is responsible for overseeing all legal matters to ensure the company's compliance with applicable laws and regulations. This role involves providing legal advice to all functions, managing legal risks, and ensuring effective governance and contract management. The General Counsel plays a critical role in supporting the executive team by preparing/reviewing Board minutes and other committees, managing legal entity matters, and overseeing regulatory authorizations and intellectual property. The position reports to CEO.

Responsibilities
- Legal advice: providing legal counsel to the CEO and other company's executives and management on various legal issues affecting the business. Monitor and evaluate regulatory and legal obligations, staying abreast of new developments. Support all functions in identifying, assessing, and mitigating regulatory and legal risks. Assist management in identifying the best Target Operating model in terms of legal and financial benefits/risks across Europe.
- Corporate Governance: Manage the legal entity structure and ensure compliance with corporate governance standards. Accountable for ensuring due process for Board Governance, such as minutes preparation and record keeping. Oversee certain regulatory authorizations (in co-operation with other functions, like Chief Compliance Officer), including the legal aspects of product development, employment contract related legal risks, intellectual property registrations, and licenses. Manage corporate governance matters, including signing authority, corporate filings, and contract approval processes. Advise relevant stakeholders on reporting obligations, providing legal certifications for agreements and customer relationships. Ensure compliance with all relevant legal and regulatory requirements, particularly in areas of contract management, corporate governance, and intellectual property.
- Risk and Litigation management: identifying and managing legal risks that the company may face and implementing strategies to mitigate those risks. Overseeing legal disputes and coordinating with external law firms when necessary to handle litigation matters.
- Contract negotiation: overseeing the drafting, review, and negotiation of contracts and agreements entered by the company. SLA Agreements with shareholders, contract management with suppliers. Oversee contract management, including the maintenance of standard forms and the review and approval of vendor contracts and intra-group agreements.
- Employee Relations: providing legal guidance on employment-related matters, including contracts, policies, and disputes. Manage disputes and litigation risks, ensuring timely resolution and minimization of legal exposure.
- Due Diligence: overseeing legal due diligence of mergers and acquisitions and travelling to other offices or courthouses.
- Management of External Legal Advisors: Responsible for deciding on the legal work that is outsourced vs. performed in-house. Responsible for selecting external legal advisors, for ensuring they perform in line with expectations, and for managing their cost. Responsible for prioritization of snappi requests for legal support and for assigning them to internal or external legal resources.
- Master's Degree in Law, with additional qualifications in Finance or Business Administration considered an asset. Understanding English and Greek Law.
- Minimum 7 years of experience in a senior legal role within a reputable law firm or working as a GS in the financial or technology sector.
- Extensive experience in corporate governance, SLA agreements, contract management, regulatory compliance, employee related issues and M&A processes.
- Proven track record of managing legal risks and providing strategic legal advice to senior management.
- Strong understanding of litigation risks, regulatory change management, employee related issues.
- Excellent communication and interpersonal skills, with the ability to influence at all levels.
- Fluent in English; proficiency in other languages is a plus.
- Working experience in other countries and other legal environment outside Greece.
