Legal Counsel

Job Summary
- Be the legal counsel to SCB China;
- Lead and take responsibility for providing legal advice, guidance and support to business units and stakeholders in China on WRB and pan-bank legal matters;
- Take responsibility on management of disputes (including complaints, arbitrations and litigations) in China;
- Within SCB Group Risk Management Framework, establish and maintain an appropriate risk-based approach to assessing, measuring, monitoring, managing and reporting Legal Risk arising in areas of responsibility;
- Understand the governance model of SCB Group and SCB China, and assist the bank to build the good governance infrastructure;

Take personal responsibility for embedding the highest standards of ethics (including regulatory and business conduct), and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
Key Responsibilities
Strategy
- Understand and execute the strategy for legal support of the WRB businesses in China.
- Act as the legal adviser to stakeholders from WRB and provide them with strategic and proactive advice.

Assist the Head, WRB Legal, China and take an active role in providing Legal support on:
- issues posing a threat to the franchise; and
- strategic projects in China.
- Escalate any material Legal issues to Head, WRB Legal, China and relevant risk committee/forum.
Business
- Lead and take responsibility for providing legal advice, guidance and support to business units and stakeholders in China on WRB and pan-bank legal matters.
- Maintain close relationships with stakeholders from segments and functions to provide them with relevant legal advice, guidance and support, and contribute to non BAU matters impacting the Bank, including government investigations, M&A, supplier contracts, IP and employment law matters.
- Support and collaborate with other Country’s Legal to identify horizon risks for Legal and strengthening relationships with China regulators;
- Take responsibility on management of third party disputes (including customer complains, arbitrations and litigations) in China.
Processes
- Has responsibility over, managing Country Legal Panels in China

Work with Head, WRB Legal, China and Group Legal COO to manage relationships with outside counsels in China, including:
- management of the China arms of Global Panels;
- where allocated, act as the relationship partner of one or more Global Panels.
- Has responsibility over logistical and operational matters arising in China which relate to the Legal function, working with the Group Legal COO team.
- Where external counsel is appointed, ensure that properly liaises with external counsel, ensures the scope of work is defined and appropriate, the quality of work is overseen effectively, legal costs are managed, and that there is appropriate overall matter management.
- Assist Head, WRB Legal, China, contribute to and execute organisational design strategies consistently with the Legal Target Operating Model.
People & Talent
- Promote best practice and lessons learned across China team, especially in relation to legal risks and compliance with relevant regulations and internal policies/procedures.
- Contribute to China team by participation in the team activities and role the model of better together;
- Provide coaching to junior legal counsels to enable them to be highly engaged and performing to their potential.
- Provide ongoing training for and development of people in China Legal team.
- Work with Head, WRB Legal, China, and HR to ensure that China team is adequately resourced and staffed by an appropriate number of competent staff sufficiently independent to perform duties objectively, support sustainable business growth and address relevant legal risks (subject to budgetary constraints).
Risk Management
- Identify material Legal risks and themes in China and communicate these to Head, WRB Legal, China and China Legal team, as necessary.
- Participate in the risk management issues across the Legal Function, with a particular focus on China.
- Within the Group’s overall Risk Management Framework, endeavour to establish and maintain an appropriate risk-based approach to assessing, measuring, monitoring, managing and reporting Legal Risk arising in their areas of responsibility.
- Assist Head, WRB Legal, China to act as Process Owner for any Group or Country processes owned by Legal where such processes are executed by China team. Be responsible for: (i) the management of such processes in line with the Group’s process universe as set out in the Group Enterprise Risk Management Framework; and (ii) associated risks, including activities within the processes which are carried out by the businesses or other functions or which are hubbed or outsourced.
- Assist Head, WRB Legal, China to act as Risk Control Owner for Legal Enforceability Risk arising China, as set out in the Group’s Risk Management Framework.
- Maintain an awareness and understanding of the top legal risks facing the Group, Asia and China, and the role played in managing them.
Risk Management

Governance
- Understand the governance model of the Group and China, and assist the Bank to build the good governance infrastructure.
- Prepare any papers being tabled by Legal at country governance committees and to ensure such papers clearly articulate the issues and legal risks involved and any mitigants approved (as appropriate).
- Act as China Legal team member to establish and maintain effective processes (including training, advice and support) to ensure that policies, procedures and standards addressing legal risk are effectively implemented.
- Have an awareness and understanding of the regulatory framework in which the Group operates, and the regulatory requirements and expectations relevant to the role.
- Work with local regulators (when required to do so) in an open and cooperative manner.
Regulatory & Business Conduct
- Display exemplary conduct and live by the Group’s Values and Code of Conduct.
- Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across Standard Chartered Bank. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
- Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters.
- Legal Counsels should have passed PRC Bar exam.
- To participate and achieve the outcomes set out in the Bank’s Conduct Principles: Fair Outcomes for Clients; Effective Financial Markets; Financial Crime Compliance; The Right Environment.

Other Responsibilities
- Embed Here for good and Group’s brand and values; Perform other responsibilities assigned under Group, Country, Business or Functional policies and procedures; Multiple functions (double hats);
- Understand, acknowledge and comply with the requirements on individual accountabilities and responsibilities of the job set out in applicable local laws and regulations as well as SCB internal policies
- Effectively ensure and intensify internal controls by keeping abreast with developments of applicable local laws and regulations on accountabilities
- Perform job duties with diligence, contribute to efforts as an individual or as a team member so as to avoid any actual or potential legal sanctions, regulatory penalties, material financial loss, or adverse reputational impact on the Bank
- Be responsible for failure to follow relevant rules and processes, failure to properly perform the responsibilities, and implement corrections
- Cooperate with any investigations or reviews on regulatory failure such as accountability review

Qualifications
- Qualified to practice as a solicitor/attorney or barrister/advocate.
- Experience in private practice or in-house of managing complex legal issues.
- Sharp business acumen (including ability to assess risk and appropriate levels of return), excellent interpersonal skills and multi cultural awareness and sensitivity.
- Understanding of risk management techniques.
- Sound judgment of business practices, regulatory relationship management and reputational risk.
- Exemplary integrity, ethics, independence and resilience.
- Personal authority with proven ability to establish relationships and provide advices to the business and the Group/Region, and with external stakeholders.
