About the Role:
The Legal Associate we are looking for has experience in startup funding and M&A, loves a fast-paced international environment and is able to provide both Rockstart and its portfolio companies with solid, pragmatic and hands-on legal support and advice. As Rockstart’s Legal Associate, you are involved in a wide variety of projects, ranging from deal management and execution, legal due diligence, startup financing deals and exits, KYC checks and compliance projects . Your role will also include providing support in fund and company incorporation and registrations with the Dutch AFM. You act as the go to person between Legal & Compliance, Finance and Fund teams to create and maintain smooth legal processes and to protect Rockstart’s interests.

Your main responsibilities will be:

• Contributing to the development and implementation of ongoing company-wide compliance strategies that ensure the company complies with its legal, regulatory and AML obligations.
  
• Contributing to annual compliance tasks such as risk assessment, policy writing and implementation.
  
• Supporting the Funds with the reporting duties to AFM, FATCA and CRS.
  
• Training Rockstart team on compliance and legal-related matters (such as AML policy, GDPR policy, etc.)
  
• Supporting Funds Team in AML checks of new investors and startups and onboarding both investors and startups.
  
• Supporting the Funds Team with legal advice relating to all legal fields, such as deals, labour law, KYC, fund documents, etc.
  
• Filing of legal documents and agreements, keeping records and filings up to date.
  
• Drafting contracts (internal and external), reviewing, negotiating and overseeing execution;
  
• Interacting with external counsel, advisors, external vendors, and business partners.
  
• Working collaboratively and creatively with internal clients by clearly and effectively rendering practical and timely legal advice on complex issues/concepts.
  
• Advising on the interpretation of legal documents and applicable laws and regulations in a manner that provides practical legal advice while properly managing risk to the organization.

Must have requirements:

• Master’s degree in Dutch corporate law;
• 3+ years of relevant working experience, of which a significant proportion as a lawyer at an (international) law firm;
• Experience in negotiating commercial and strategic deal terms;
• Experience in negotiating commercial agreements
• Knowledge of GDPR laws, AML, Eu VECA and compliance,
• Experience with venture capital and the various phases of startup funding;
• Fluent English (written and verbal);
• Bonus - Excellent command of Dutch.

Start: October 2024
Availability: 40 hours per week
Duration: 7 months initial contract with view to extension.
