Contracts and Compliance Legal Advisor

Key Responsibilities:
a. Contract Review and Compliance
1. Conduct comprehensive reviews of various contractual documents including vendor agreements, partnership agreements, NDAs, and employment contracts.
2. Ensure all contracts comply with DMW regulations, particularly in aspects of migrant worker rights, benefits, and protections. Informed and train internal team on relevant legal
3. Adhere to DOLE standards in contracts involving labor within the Philippines, focusing on compliance with minimum wage laws, worker safety, and employment conditions.
4. Analyze and assess contractual obligations, ensuring all terms are met, and identify potential risks or inconsistencies that could impact the organization.
b. Document Review and Due Diligence
1. Perform detailed reviews of corporate documents as part of due diligence in mergers and acquisitions, financial transactions, or regulatory compliance audits.
2. Guarantee that all documentation adheres to DMW and DOLE guidelines, safeguarding employee rights and meeting occupational health and safety standards.
3. Identify compliance risks related to labor and migration regulations and recommend corrective actions to align with regulatory requirements or standards.
c. Contract Management Services
1. Analyze contract clauses to highlight key elements such as obligations, liabilities, termination clauses, and payment terms, with a focus on DMW and DOLE provisions regarding worker welfare.
2. Manage contract lifecycles, ensuring timely renewals or terminations, and support negotiations, modifications, or amendments of contracts.
3. Coordinate compliance, and audit checks against DOLE and DMW standards, particularly in contracts involving labor outsourcing, overseas deployment, or international collaborations.
- A duty to provide training or updates to internal teams on relevant legal or regulatory changes, especially for areas that impact the organization’s operations with OFWs, or for compliance with DMW and DOLE standards.
- Responsibilities for conducting internal compliance audits or assessments to verify adherence to DOLE, DMW, or other relevant legal standards, especially in labor outsourcing and international collaborations.
- A degree in Law, with a strong background in employment or contract law.
- At least 5 years of experience in a legal advisory role, focusing on contract review, compliance, or corporate law.
- Detailed knowledge of DMW and DOLE regulations and their application in the context of employment and labor laws.
- Proven ability to manage multiple tasks and projects with strict deadlines.
- Excellent analytical, negotiation, and communication skills.
Pay: Php90,000.00 - Php100,000.00 per month
Ability to commute/relocate:
- Mandaluyong: Reliably commute or planning to relocate before starting work (Preferred)
