○ Lead and support corporate transactions, including mergers ,acquisitions, divestitures,
and joint ventures ,with a focus on the Philippine market.
○ Draft,review,andnegotiatetransactiondocumentssuchassharepurchase
agreements,subscriptionagreements,disclosureschedules,andancillaryagreements.
● Renewable Energy Project Development:
○ Provide expert advice on various aspects of the development of renewable energy
(particularly solar) projects, including development, financing, construction,and
operation in the Philippines.
○ Draft, review, and negotiate relevant contracts, not limited to power purchase
agreements(PPAs),operations and maintenance(O&M),engineering, procurement
and construction(EPC)contracts, lease agreements, and project/joint development
agreements(JDAs).
○ Advise on compliance with relevant local energy laws and regulations, including
environmental and tax-related regulations
● Debt and Project Finance
● Regulatory Compliance and Risk Management:
● Corporate Governance
● General Legal Support
Job Type: Full-time
Pay: Php50,000.00 - Php150,000.00 per month
