Job Type: Fixed Term Employment Contract (1 year, subject to renewal based on continuation of a client project), coupled with partial secondment to the said client (“Client”).
1. Job Description:
1.1. Responsible for providing legal support across the organisation of the Client (“the Business”) on a range of matters in the commercial, contracts and regulatory areas of law. Dual reporting to the Area Legal Counsel of Client and T&T.
1.2. Specific areas of responsibility (subject to supervision of T&T):
· Providing legal advice and support to the Business:
· Responsible for providing legal advice and support to the Business on a range of legal matters, including commercial contracts, corporate law, and regulatory (including, without limitation, data protection, copyright law, consumer law, company law, etc.).
· Work closely with the in-house legal team, T&T and the Business to ensure that legal risks are identified and managed appropriately.
· Limited assistance on employment law related matters.
· Drafting, reviewing and supporting negotiations of a range of
commercial contracts:
· Be responsible for drafting, reviewing and supporting the negotiations of a range of commercial contracts, including but not limited to supply agreements, service agreements, and confidentiality agreements.
· Work closely with the Business, T&T and in-house legal team to ensure that contracts are fit for purpose and protect the Business's interests.
· Ensure that the Client’s templates used by the Business are used correctly.
· Assist in the coordination of all internal approvals required for the commercial contracts in the Business.
· Conducting legal research and analysis on various legal issues:
· Responsible for conducting legal research and analysis on various legal issues, including new and emerging areas of law.
· Provide legal updates to the in-house legal team, T&T and the Business on relevant legal and related developments.
· Assisting with the management of legal risk in the Business:
· Work closely with the in-house legal team to identify and manage legal risks across the Business.
· Assist with the development and implementation of policies and procedures to manage legal risk.
· Management of the Contract Management System for the Business:
· Manage the contract management system as well as related tools and processes.
· Provide regular updates to the system.
· Including regular spot checks on compliance with the system and reports to the Business on the system.
· Provide regular reminders to use the system.
· Ensure that all new joiners are aware of the processes that come with the Contract Management System.
· The administration and documentation of commercial contracts
· Provide insights on the way the system is tracking and Business compliance with the system.
· Assist with ensuring the Business is familiar with the Contract Management System.
· Supporting the in-house legal team (and T&T) on legal projects and initiatives:
· Support the in-house legal team on legal projects and initiatives, including M&A transactions, corporate restructuring, and regulatory compliance (POPI compliance).
· Providing guidance and training to non-legal colleagues on legal issues:
· Provide guidance and training to non-legal colleagues on legal issues, including contract management, data protection, and regulatory compliance.
2. Eligibility Requirements:2.1. LLB or equivalent Bachelor of Laws degree 2.2. Minimum of 4 years post-articles experience in law firm or in-house legal counsel.
