Reimagine What’s Possible
PRINCIPAL ACCOUNTABILITIES
- Follow the instruction of Legal Counsel of Taiwan regarding the allocation of work, to review and/or draft the contracts and the relevant documents to be signed with clients, vendors, governmental authorities and/or business partners which are with less complexity.
- During the process of drafting and reviewing the documents referred to in Item 1, identify, assess and mitigate the legal risks involved therein and discuss with Legal Counsel the mitigation plan or the risk management if needed.
- Follow the instruction of Legal Counsel of Taiwan, to conduct research on court precedents and Taiwanese laws and regulations to analyze legal issues arising from the contract review, daily operation and disputes with counterparties.
- For corporate actions to be taken, collect the information from various departments and advise the Company and its joint venture the proper procedures under the guidance of Legal Counsel in Taiwan and plan the details of the procedures (including periodic/ad-hoc shareholders’ meetings and board meetings) to ensure the compliance with Taiwanese Company Acts and rulings, incorporation documents of the Company and its joint venture and the Group’s corporate governance policies and procedures.
- For corporate actions to be taken, prepare meeting materials with the external corporate agent and/or accounting firm’s help, liaise with the external corporate agent and other internal functions to prepare and collect corporate registration materials.
- Collect and review information provided by Commercial team to prepare litigation materials, handle debt collection process of certain product lines in liaise with debt collection team and commercial team.
JOB REQUIREMENT
- Bachelor's degree and/or master’s degree in law. Taiwan bar is preferred.
- Around 3 to 8 years working experience as in-house lawyer, worked at court(s) or law firm(s) in Taiwan or a combination thereof.
- Familiar with the Taiwanese company act and relevant rulings.
- Having experience of handling corporate secretary matters of a non-listing Taiwan company with joint venture nature is preferred.
- High legal professional expertise and the ability to negotiate and draft contracts and effectively communicate legal and non-legal advice in a timely manner.
- Ability to assimilate into multinational corporate culture.
- Excellent command of spoken and written English
- Self-starter, and have the ability to communicate with senior management and to closely work and the Legal Counsel in Taiwan
- Willingness to travel in Taiwan.
