The successful candidate will have the opportunity to become part of the Schroders Capital Legal Team, based in Shanghai, China. Schroders Capital Private Fund Management (PFM) is expanding its capabilities to enable it to act as portfolio management company for Real Estate, Infrastructure and Private Equity products in the APAC region, particularly in Mainland China and Hong Kong.

The team

You will be part of the Schroders Capital Legal Team based in London and Zurich. The team is part of the larger Schroder Group Legal team supporting the strategic growth of the business, and identifying, managing and reporting legal risks.
What you’ll do

• Support the launch and establishment of RMB private funds (including Real Estate, Infrastructure (Renewables) and Private Equity products) in China, including through the Qualified Foreign Limited Partner (QFLP)-pilot program and Qualified Domestic Limited Partner (QDLP)-pilot program promulgated by the competent authorities

• Support the application for QFLP and QDLP quota and relevant regulatory processes

• Support with RMB fund formation, structuring, fund legal documentation preparation

• Support with legal execution for RMB private funds and equity investments

• Support with transaction management, subscriptions, transfers and investor and investment closings across Real Estate, Infrastructure and Private Equity, including KYC/AML

• Support with Governance (incl. general company secretarial work), set up and day-to-day corporate matters relating to Schroders Capital and the Schroders Capital entities/products in China and APAC

• Support with contracts and corporate matters under PRC law for private asset businesses (e.g. service provider engagement terms, intra-group agreement, company secretarial duties for local GPs)

• General legal advisory support to the Schroders Capital business in China and APAC

• Stay abreast of relevant legal and regulatory PRC developments and keeping wider team informed

• Manage relationships with business stakeholders in China

• Coordinate with the larger Schroders Capital and Schroders teams globally, incl. the implementation of local, regional and/or Group related projects

The knowledge, experience and qualifications you need

• At least 6 year’s relevant experience

• Master’s degree in Corporate Law or similar relevant diploma

• Experience in the area of Private Assets products

• Has passed the AMAC professional exams (Subject One and Subject Three)

• Good English language skills (oral and written)

• Good understanding of MS office (Word, Excel, Powerpoint)

The knowledge, experience and qualifications that will help

• Good understanding of private assets investments and their operational aspects

• Experience and knowledge of QFLP and QDLP is a plus

• PRC bar is a plus
